Aurora Visuals - Terms and Conditions

1. Acceptance of Terms

Welcome to Aurora Visuals! By accessing or using our video production services, including but not limited to our website, video creation, post-production, and related services, you agree to be bound by these Terms and Conditions (the "Terms"). These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Aurora Visuals ("we," "us," or "our"), located at 123 River Street, Suite 400, Aurora, IL 60506. If you do not agree to these Terms, you may not use our services. These Terms are effective as of January 1, 2024.

2. Description of Services

Aurora Visuals provides a comprehensive suite of video production services, including:

• Corporate Video Production: Crafting videos that showcase your company's values, culture, and expertise.
• Marketing Video Production: Creating high-impact videos that drive engagement and boost conversions.
• Promotional Video Production: Producing visually appealing videos that highlight the key features and benefits of your products or services.
• Event Videography: Capturing the essence of your events, including conferences, seminars, and concerts.
• Animated Explainer Videos: Simplifying complex concepts with engaging and informative animations.
• Video Editing & Post-Production: Perfecting your visuals with comprehensive editing, color correction, and audio mixing services.

3. Service Usage and Client Responsibilities

When engaging with Aurora Visuals, you agree to:

• Provide accurate and complete information necessary for the provision of services.
• Cooperate with Aurora Visuals in a timely manner to ensure the successful completion of the project.
• Adhere to all applicable laws and regulations regarding the content and use of the videos produced by Aurora Visuals.
• Obtain all necessary rights and permissions for any content you provide to Aurora Visuals, including but not limited to music, images, and trademarks.
• Review and approve drafts and final products promptly and provide constructive feedback.

Aurora Visuals reserves the right to refuse service to anyone for any reason at any time.

4. Intellectual Property Rights

Upon full payment for services rendered, Aurora Visuals grants you a non-exclusive, perpetual license to use the final video product for commercial and non-commercial purposes, subject to any third-party rights. All original source files and raw footage remain the intellectual property of Aurora Visuals unless otherwise agreed upon in writing. You may not resell, redistribute, or create derivative works from the source files without explicit written permission from Aurora Visuals.

5. Payment Terms

Payment terms will be outlined in the project proposal. Typically, a deposit is required before commencement of work, with the remaining balance due upon completion of the project. Late payments may be subject to interest charges. Aurora Visuals accepts payments via credit card, bank transfer, and check. Specific payment details will be provided in the project invoice.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Aurora Visuals shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use our services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; (e) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the services; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

7. Indemnification

You agree to indemnify and hold harmless Aurora Visuals, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

8. Dispute Resolution

Any disputes arising out of or relating to these Terms or the services provided by Aurora Visuals shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Aurora, Illinois. The decision of the arbitrator shall be final and binding on both parties. You agree to waive your right to a jury trial in any such dispute.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

10. Modifications to Terms

Aurora Visuals reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of our services after the posting of the modified Terms constitutes your agreement to the new Terms.

11. Termination

Aurora Visuals may terminate this agreement at any time if you breach these Terms. Upon termination, you must cease all use of our services. You may terminate this agreement by providing written notice to Aurora Visuals.
